Terms of service
Effective date:
These Terms of Service govern the use of Guard AI, an online service for AI literacy training of employees available at guard-ai.eu and app.guard-ai.eu (the "Service"). By ordering or using the Service, the customer agrees to these Terms.
1. Operator
The Service is created and operated by MadHoney s.r.o., Nové sady 988/2, Staré Brno, 602 00 Brno, Czech Republic, Company ID 23023937, VAT ID CZ23023937, registered in the Commercial Register maintained by the Regional Court in Brno, Section C, File 143835 ("MadHoney", "we", "us"). Contact: sales@guard-ai.eu.
2. Customers and business use only
The Service is intended exclusively for businesses, public bodies and other organisations (the "Customer") acting within their business or professional activity. It is not offered to consumers. The person placing the order confirms that they are authorised to bind the Customer.
3. The Service
The Service lets the Customer train its employees in the responsible use of artificial intelligence. It includes a course catalog, end-of-course quizzes graded on our servers, completion certificates, reminders, an administration panel for managing seats and courses, and reports and an audit trail exportable to CSV.
We may improve and update the Service and its course content, provided that the core functionality of the purchased plan is not materially reduced during the paid period.
4. EU AI Act Article 4
Article 4 of Regulation (EU) 2024/1689 (the AI Act), as amended by Regulation (EU) 2026/1744, requires providers and deployers of AI systems to take measures to support the development of AI literacy of their staff; it does not require them to guarantee any specific level of AI literacy of any individual. The Service is a tool that helps the Customer carry out and document such measures.
The Customer remains responsible for its own compliance with the AI Act and other laws, including choosing training appropriate to the roles of its employees and the AI systems it uses. The Service and its content do not constitute legal advice, and we do not guarantee that using the Service alone satisfies every obligation of the Customer.
5. Accounts and seats
- After payment, the Customer's company account is created and the administrator named in the order receives an invitation by e-mail.
- Each plan includes a number of seats. One seat is one employee account. The administrator can invite, remove and reassign employees within the purchased number of seats.
- The Customer is responsible for the accuracy of the data it enters, for keeping access credentials confidential and for all activity under its accounts. Suspected unauthorised access must be reported to us without undue delay.
6. Prices, payment and Paddle
Subscriptions are sold as annual licences for the selected number of seats at the prices shown on the pricing page. Prices are stated without VAT; applicable taxes are added at checkout.
Orders and payments are processed by our reseller Paddle.com Market Ltd ("Paddle"), which acts as the Merchant of Record. Paddle is the seller of record towards the Customer, collects payment, issues invoices and handles taxes. Paddle's own terms of purchase also apply to the payment.
Unless cancelled, the subscription renews automatically for another year at the then current price. A higher number of seats can be ordered at any time; Enterprise plans may be agreed individually in writing.
7. Cancellation and termination
The Customer may cancel the subscription at any time; access continues until the end of the paid period and paid fees are refunded only as set out in the Refund Policy (guard-ai.eu/en/refund) or where required by law.
We may suspend or terminate access if the Customer does not pay, materially breaches these Terms or uses the Service unlawfully. Before deletion of data after the end of the subscription, the Customer may export its reports and audit trail.
8. Acceptable use
- Do not share accounts, use the Service for more employees than purchased seats, or attempt to bypass seat limits.
- Do not attempt to obtain quiz answers by technical means, disrupt the Service, test its security without our written consent, or access other customers' data.
- Do not copy, resell or publish the course content outside the Customer's organisation.
9. Intellectual property
The Service, its software and course content, including texts, quizzes, illustrations and certificate templates, are protected by copyright and belong to MadHoney or its licensors. For the term of the subscription, the Customer receives a non-exclusive, non-transferable licence to use the Service and its content for internal training of its employees. The Customer retains all rights to the data it enters.
10. Personal data
For data about the Customer's employees (names, e-mails, departments, training progress, quiz results, certificates and the audit log), the Customer is the controller and MadHoney processes the data as a processor on behalf of the Customer. The processing is governed by the Data Processing Agreement under Article 28 GDPR, which forms part of these Terms (guard-ai.eu/en/dpa). In short: we process the data only on the Customer's documented instructions given through the Service, ensure confidentiality and appropriate security, engage only the sub-processors listed in the Privacy Policy, assist the Customer with data subject requests, report personal data breaches without undue delay and delete or return the data after the end of the subscription.
The Customer is responsible for having a legal basis for entering employee data and for informing its employees.
11. Availability and support
We provide the Service with professional care but do not guarantee uninterrupted availability. Planned maintenance is carried out preferably outside business hours. Support is provided by e-mail on business days.
12. Liability
To the extent permitted by law, our total liability for damage arising from or in connection with the Service is limited to the fees paid by the Customer in the 12 months before the event giving rise to the claim. We are not liable for lost profit, indirect or consequential damage, or for fines or penalties imposed on the Customer by authorities. These limitations do not apply to damage caused intentionally or by gross negligence, or to other liability that cannot be limited by law.
13. Changes to these Terms
We may change these Terms for good reason, for example due to changes in law or the Service. We will notify the administrator by e-mail at least 30 days before a material change takes effect. If the Customer does not agree, it may cancel the subscription before the change takes effect.
14. Governing law and disputes
These Terms and all relationships arising from them are governed by the laws of the Czech Republic, in particular Act No. 89/2012 Coll., the Civil Code, excluding the UN Convention on Contracts for the International Sale of Goods. Disputes will be resolved by the competent courts of the Czech Republic with local jurisdiction according to our registered office.
